Sellers Agreement

AGREEMENT TO DISPLAY GOODS ON THE WEBSITE / MOBILE APPLICATION

Whereas B2B Sultans Portal L.L.C COMPANY for which is instituted in DUBAI according to the law of UAE and having the commercial license no. 1181130 issued by the Department of Economic in the Emirate of DUBAI and it is the owner of the website / mobile application for wholesale called B2B Sultans. (which is called in this contract as B2B Sultans).

Whereas the Mrs. -------which is a company / corporation instituted according to the law of ………… and having the commercial license no. ………. issued by …………………….. in the ………………………… and would like to present its goods on the website / mobile application which is called----------- owned by M/S B2B Sultans Portal.

(in this contract it is called the seller).

Whereas B2B Sultans Portal is the owner of the website / mobile application called B2B Sultans has the capabilities and the commercial experience to display the goods of the merchants and use the service of selling the products for wholesale through creating a seller account with it to display the goods and products on the website and mobile application, Whereas the seller is producer / agent / manufacturer / distributer and would like to present it on the website / application called B2B Sultans owned by Mrs.---- B2B Sultans

Portal.

Whereas The parties have agreed according to the below conditions:

1- B2B Sultans services are presented on the website and mobile application platforms to provide products to the for wholesalers and completing the transactions. It also provides technology and services like orders management, payment, all shipping and handling operations, payment collection and payment processing, call center and customer support (services). The website and services are provided as is, B2B Sultans is not liable regarding the obligations of services, products and services provided by the seller to the final users. As a seller, the seller uses B2B Sultans website and mobile application platforms and services on his own responsibility, and B2B Sultans does not take any risks related to the products and all the rights and obligations regarding them.

2- The seller registers on the site and the application as a seller and creates an authorized seller account at B2B Sultans within a period not exceeding (30) working days to start receiving the necessary information. He should also recognize the sale process which is shown on the site and all the site’s conditions, and the seller must make sure that the products that he displays are compatible with the images, videos specifications attached in the website and the information provided site and the application.

3- B2B Sultans provides the seller with a user name, password, or any other part of information as part of the security procedures, and for that, he should deal with this information as confidential and not disclose this information to any third party, because B2B Sultans has the right to disable any username or password, whether he chooses it or designated by B2B Sultans, at any time, in the case that B2B Sultans believes that the seller has failed to comply with any of the terms and conditions of use and in the event that the seller registers with a fake name and impersonates the credentials or password (s) of other sellers to log in, it is considered This behavior is fraudulent and a violation of applicable local or international laws and regulations Impersonating other vendors' credentials or password (s) to log in. This behavior is considered fraudulent and a violation of applicable local or international laws and regulations.

4- The seller bears the responsibility for not being able to use the site / application or in case the Buyers fail to order seller products.

5- The seller is not entitled to use the website / application and services except for legitimate purposes and in a legal manner, and he must comply with all applicable laws and regulations, the seller must obtain all relevant licenses from all government agencies and a trademark, and licenses shall remain valid in order to enable B2B Sultans to display the it on the app.

6- B2B Sultans reserves the right to change the terms of the site at any time and according to its discretion, any changes will be effective upon posting the reviews on the site without any notice to the seller.

7- The seller should put the product image with specifications of the product and he will be responsible for it and for any violations that appear on the product in violation of the specifications.

8- The seller is obligated to the safety and quality of the product and that the product is new and not re-repaired or used or used before.

9- In the case that the sold product is used before or recycled, the seller is obligated to put a sign indicating that, and the buyer's approval must be clear on the product to be purchased.

10- The seller offers the buyer a product warranty for a period (....) according to the type of goods sold.

11- The seller is obligated to replace the product and return the amount in the case of violating the specifications or if the buyer is not satisfied with the product.

12- The seller responsible for the all-shipping costs for returning and re-shipping the product if the customer requests within a period not exceeding (15) days.

13- The seller is obligated to provide all the products displayed on the site / application in his stores and warehouses, provided that they are ready for shipment to the customer  whenever he requests.

14- If the product is out of stock from the seller’s stores, it is the seller’s responsibility to put a sign on the site stating that the product is not provided and removed from the site. Otherwise, in the case of a complaint for the site / application, the site / application has the right to remove the product with charging the seller any expenses or fines incurred by B2B Sultans or falling on B2B Sultans responsibility is the result of the seller’s mistake. The seller also bears any expenses incurred by B2B Sultans to solve the situation.

15- The seller's display of the goods does not mean that B2B Sultans is responsible for the products and goods and their quality, but the seller is solely responsible.

16- The seller should ship the products at his own expense or at the buyer's expense or as agreed between them within ( 5 ) days from the date of placing the order by the buyer, unless another shipping time is specified in writing with the buyer, and if any delay occurs. In the delivery time according to the agreed schedule, B2B Sultans has the right to issue a warning, and in the event of a recurrence, the account will be suspended.

17- The seller agrees that all products are subject to a return policy within a period not exceeding ( 40 ) days, in the condition that the product is in its original situation upon purchase.

18- If it is proven that the purchased product is not original, counterfeit, in violation of the specifications, or in violation of the buyer's request, the seller is obligated to return the product or return the financial value in addition to a fine equal to 7 % of the value of the goods sold as administrative expenses, for B2B Sultans.

19- The seller is obligated to accept the returned product without having the right to object it.

20- The seller is obligated to pack the product and deliver it to the buyer in a safe manner that reduces the risk of product damage through shipping companies chosen by B2B Sultans.

21- The value is paid according to all types of bank transfer approved by banks, a bank credit card, or by direct transfer from his account through the bank / bank with which he deals, a letter of credit issued by the bank.

22- B2B Sultans collects the value of the goods sold on behalf of the seller, provided that the amounts due to the seller are transferred within (30 ) working days from the date of collection from the customer on account No. ................ according to the terms of payment agreed upon with the buyer.

23- The seller agrees that B2B Sultans shall return the value of the product to the buyer in the event of a dispute with the buyer about the product that was purchased, provided that the value is deducted from the seller’s sums in addition to the expenses incurred by B2B Sultans.

24- The seller is obligated to pay a percentage of 12 % from the value of the sold product to B2B Sultans for the services it provides, B2B Sultans must deducts it directly from the payment value collected by him, provided that the remainder is paid in favor of the seller's account, noting that this percentage changes from one time to another according to the agreement between the parties.

25- The seller acknowledges and undertake, at all time, of the following:

    1. Use valid licenses at all times, a valid copy of them must be submitted to B2B Sultans

    2. Providing all the certificates of product quality and safety, permits that are necessary for safety of use, and government     permits.

    3. Customs certificates

    4. The seller should not provide any misleading information that on the website / application

26. It is not permissible for the seller to use the site and services except for legitimate purposes and in a legal manner, and he must comply with all applicable laws and regulations, and he should get all relevant licenses from all government agencies and trademarks and that these licenses should remain valid in order to be able to display and sell products On the website / app and in the regions where the products are sold.

27. B2B Sultans has the right to deduct any fines or compensation that it has paid or imposed on it because of the seller from any sums he has or from any amount which is owed to the seller.

28. B2B Sultans is obligated to transferring the amounts owed to the seller within (30) working days from the date of their collection from the buyer and the delivery of the goods.

29. The seller agrees to authorize B2B Sultans to pay any fines or fees imposed on him in to the buyer as a result of the seller's breach of the guarantee or the buyer's compensation, in condition that they are deducted from the amounts owed to the seller and collected by B2B Sultans.

30. B2B Sultans has the right to check and verify any image, information, trademark, or specification.

31. The seller allows B2B Sultans to use, copy and change any media content, trademark, materials or pictures that the seller uploads to the website / application as a product or for any third party he represents as an agent or distributor (the seller gets prior approval to protect B2B Sultans) as well as the seller protects B2B Sultans of any claim can result from these changes.

32. B2B Sultans may update the site to improve the site’s security and upgrade services for the buyer from time to time, and the seller has no right to object to that.

33. B2B Sultans or the website / application do not take the responsibility of any legal obligations towards the buyer, and all representations and guarantees are the seller's obligations.

34. The seller acknowledges that B2B Sultans does not bear the following:

    1. Loss of profits and revenues.

    2. Loss of contracts or business interruption.

    3. Data loss.

    4. Any loss or damage directly or indirectly to the work.

35. The two parties have agreed that this agreement will be valid for a period of 1 year, and it will be automatically renewed unless any party terminates it by notifying the other party for a period of month.

36. B2B Sultans has the right to terminate this agreement at any time in the case that the seller breaches this agreement.

37. B2B Sultans has the right to suspend the services provided to the seller without incurring any responsibility or errors of the seller in the following cases:

    1. If the seller violates the terms of the agreement.

    2. If the seller violates the objectives of B2B Sultans Portal.

    3. If the seller does not meet the entitlements of B2B Sultans.

    4. If The seller's licenses are expired and were not renewed.

    5. The bankruptcy of the seller.

    6. A decision by the court to stop the seller display or the sold good.

38. B2B Sultans has the right to inform about any abnormal activity done by the seller to the competent authorities.

39. In the event of failure of the seller, or in the event of any violations by him or any of his employee of intellectual property, copyright or any patents, database rights and confidentiality to deal in the country or anywhere in the world or breach of any law in the country or anywhere else In the event of a claim against the Website/App (B2B Sultans Portal L.L.C COMPANY), Seller is obligated to defend B2B Sultans Website/App / B2B Sultans Portal L.L.C COMPANY as well as any compensation or penalties that may be imposed on the Website/App (B2B Sultans Portal L.L.C COMPANY). As the seller replaces the Website/App / (B2B Sultans Portal L.L.C COMPANY) in lawsuits before the courts or arbitration and is obligated to pay those damages, fines or any other provisions inside and outside the country.

40. In the event that a notification has been received by the Website/App / B2B Sultans Portal L.L.C COMPANY from any party about any breaches made by the seller, the seller must immediately remove these products related to the hacking or complaint about the site / application, otherwise B2B Sultans remove them from the site / application and make the seller bearing all financial costs the implications of that.

41. In the case that the agreement is terminated, the seller immediately stops displaying his products, B2B Sultans has the right to stop displaying the products immediately.

42. The law, which is governed by this Agreement is the law of the United Arab Emirates and the Emirate of DUBAI and if any dispute arising between the parties it will be solved by the courts of DUBAI.

43. The seller has no right to assign or transfer any rights or duties in accordance with this agreement to any third party.

44. Nothing in this agreement or in the relationship between B2B Sultans and the seller that benefits the partnership.
